Affiliate Terms & Conditions

The following are our terms and conditions to become a member of z-mirage Affiliate Network. Please read this Agreement carefully and completely.

By Linking to any of our client sites, the affiliate has agreed to be bound
by all the terms and conditions set out in this agreement.

1. Enrollment

Membership in z-mirage Affiliate Network is subject to prior approval.
z-mirage Affiliate Network reserves the right to refuse service to any 
new or existing Affiliate, in its sole discretion, with or without cause. Approval of membership in the z-mirage Affiliate Network is limited only to the specific root URLs for which Affiliate has applied for approval. z-mirage Affiliate Network reserves the right, in its sole discretion and without liability, to reject, omit or exclude an affiliate application in our sole discretion, including but not limited to, sites that are under construction, aimed at children, promote sexually explicit materials, promote violence, promote discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age, promote illegal activities, or violate intellectual property rights.

2. Affiliate Agreement

During the term of this arrangement (which shall commence when you indicate your acceptance in the manner specified above, and shall end when either you or we notify the other, by email, of the termination of this Agreement), you shall display a link trough the marketing tools provided by z-mirage Affiliate Network on your site (the "Affiliate site") as a hyperlink to direct Visitors from the Affiiate Site to the Client's Sites (the Merchant program), using distinct URLs supplied by z-mirage Affiliate Network exclusively for linking (the "Supplied Marketing Tools").

The relationship specified in this Agreement is non-exclusive for both parties; therefore, the Affiliate shall be entitled to display the banners or any other type of marketing tools of, and provide links to, sites of other companies through the Affiliate site, and z-mirage Affiliate Network shall be entitled to make the Client's banner and other marketing tools available through online and other services than the Affiliate site.

3. Payment

z-mirage Affiliate Network shall pay any amounts due to the Affiliate on the 
20th of every month for the revenue generated from the Merchant program up to the 30th or end of the previous month
All amounts will be paid in Pounds via PayPal,Egold, Check and Wire Transfer. The minimum amount to receive a payment from z-mirage Affiliate Network is 30GBP (the "Payment Threshold")
All amounts below the Payment Threshold shall be aggregated and paid when the Payment Threshold has been met.

Affiliate payment shall be made on affiliate request. Payment request up to the 30th of the month is made on the 20th of the following month.

z-mirage Affiliate Network's tracking system shall be the sole method for determining the basis of the calculation of affiliate commissions hereunder.  z-mirage Affiliate Network will not be responsible to compensate Affiliates for events that are not recorded due to our client's error.

4. Good Faith

You will not knowingly benefit from known or suspected traffic not generated in good faith whether or not it actually causes z-mirage Affiliate Network or its client's damage. We reserve the right to retain all amounts due to you under this Agreement if we have reasonable cause to believe that such traffic has been caused with your knowledge. Even if you have not knowingly generated such traffic, we reserve the right to withhold affiliate commissions with respect to such traffic.

5. Termination

The term of this Agreement will begin when you create a unique link to our clients sites and will be continuous unless and until either party notifies the other in writing that it wishes to terminate the Agreement, in which case this Agreement may be terminated immediately. Termination notice may be provided via email or any other public means and will be effective immediately. Upon receipt of such termination notice, Affiliate agrees to immediately remove from his/her website the merchant’s link associated with z-mirage Affiliate Network. Affiliates will be paid, in the next scheduled payment cycle, all legitimate earnings due up to the time of termination.

6. Spamming

Publisher warrants that it will not send any commercial email to any person who has requested not to receive email from the Affiliate and that they are in full compliance with the Can-Spam Act. Affiliates also understands that upon doing so it automatically forfeits the right and claim to any commission generated for its affiliate account, and Affiliate's account will be  terminated. Affiliate further agrees that all of Affiliate's business will be in compliance with all local, State, and Federal anti-spam policies and all other applicable laws.

7. Fraud and Deception

Affiliates that produce commit fraudulent activities, including false clicks, false impressions, and incentivised clicks will have their account removed from our network and will not be compensated for fraudulent traffic. If fraud is suspected or detected, Affiliate’s account will be made inactive pending further investigation.

8. Relationship of Parties

For purposes of this Agreement, each party shall be and act as an independent contractor. This Agreement does not constitute, create, or give effect to any employer/employee or franchiser/franchisee relationship, nor any joint venture, partnership, limited partnership, or agency among the parties, and the parties hereby acknowledge that no other facts of relations exist that would constitute, create, or give to effect any such relationship between them. Neither party has any right or authority to assume or create any obligation or responsibility on behalf of the other party except as may from time to time be provided otherwise by written agreement signed by both parties.

9. Indemnification

Affiliates will at all times indemnify and hold harmless the z-mirage Affiliate Network Indemnified Parties from and against any and all Losses arising out of any arising out of the Affiliate's breach of any representation, warranty or obligation hereunder, or any alleged breach of any representation, warranty or obligation to any other party.

10. Limitation of Liability
z-mirage Affiliate Network will not be liable for indirect, special, or consequential damages (or any loss of revenue, profits, or data) arising in connection with this Agreement or the Affiliate Program, even if we have been advised of the possibility of such damages. Nothing in this Agreement shall be construed to provide any rights, remedies or benefits to any person or entity. Any liability arising under this Agreement shall be satisfied solely from the referral fee generated.

11. Representations

Each party represents and warrants that it has the authority to enter into this Agreement and sufficient rights to grant any licenses granted hereunder, and that any material provided by it to the other party for display on the other party's site will not infringe on any copyright, trademark or other proprietary right of any third party.

12. Confidentiality

Each party acknowledges that it will not disclose the confidential information of the other party, except to its employees and professional advisors and except as required by law.

13. Modifications:

z-mirage Affiliate Network reserves the right to change any condition of this contract at any time, notification may be provided to Affiliates but is not required.
